Reasonable Use Policy

Unlimited Internal Users means no fixed numerical seat cap. This policy explains the reasonable-use boundaries that help Simplifyte keep the service reliable, secure and fair for every customer.

At a glance

Where your plan includes Unlimited Internal Users, increasing the number of authorised Internal Users does not, by itself, create an automatic plan upgrade. Reasonable Use applies to how the Service is used — including system resources, plan entitlements, security and misuse — rather than ordinary team growth.

01

No hidden seat cap

Unlimited Internal Users does not contain a secret numerical user limit.

02

No seat-based auto-upgrade

Adding authorised Internal Users does not, by itself, automatically move you to another plan.

03

Reasonable review first

Where reasonably practicable, we will contact you before materially restricting legitimate business usage.

04

No review fee

A Reasonable Use Review does not itself create an additional charge.

01

Purpose

This Reasonable Use Policy helps Simplifyte provide a reliable and secure service while supporting plans that include Unlimited Internal Users.

Capitalised terms not defined in this Policy have the meanings given to them in the Simplifyte Terms of Service or applicable Order. This Policy should be read together with those documents and the Privacy Policy.

02

Unlimited Internal Users

Where a plan includes Unlimited Internal Users, Simplifyte does not impose a fixed numerical seat cap on individuals authorised by the Customer to use the Service as part of the Customer's internal business operations.

Internal Users may include employees, partners, contractors and other personnel acting on or for the Customer in connection with those internal operations.

Important: Unlimited Internal Users relates to user seats. It does not mean unlimited storage, API usage, messaging, automation processing, bandwidth, computing resources, support volumes or service levels beyond those included in the applicable plan or Order, or other separately limited, metered or chargeable resources.
03

Customer responsibility

The Customer is responsible for deciding who is authorised to access its workspace, inviting and managing those users, maintaining appropriate access controls, and ensuring that use of the Service complies with the applicable plan and Terms.

Increasing the number of authorised Internal Users will not, by itself, cause an automatic plan upgrade.

04

Resource and system usage

Customers must use the Service in a manner consistent with normal business use and must not materially interfere with, degrade, disrupt, overload or create unreasonable risk to the Service, its infrastructure or other customers.

Simplifyte may apply technical safeguards, rate limits or other reasonable controls to protect service reliability, security and performance.

Simplifyte may use technical, account and usage information to administer, secure, monitor and enforce use of the Service in accordance with its Privacy Policy and applicable agreements.

05

Circumvention and third-party access

Customers may not use account structures, automation, multiple workspaces, user types or other arrangements primarily to circumvent applicable plan restrictions, usage allowances, charges or access types.

Internal User access may not be used primarily to provide the Service to external clients, customers, unrelated businesses or other third parties where the applicable Simplifyte plan provides a separate Client Login or similar access type for that purpose.

Simplifyte may require the Customer to use the appropriate access type or commercial arrangement where use materially circumvents applicable plan entitlements.

06

Reasonable Use Review

Simplifyte may review usage where it reasonably believes that use:

  • materially exceeds usage reasonably expected for the applicable Service or plan, or creates significant or sustained infrastructure demand;
  • circumvents plan entitlements, usage allowances, access types or applicable charges;
  • creates or is reasonably likely to create a security, stability, performance or availability risk;
  • involves automated, abusive, fraudulent or otherwise improper use of the Service; or
  • otherwise violates this Policy, the applicable Terms or law.

Temporary increases associated with legitimate onboarding, migration, seasonal demand or similar business activity may be considered in context.

Where reasonably practicable, Simplifyte will contact the Customer and seek a commercially reasonable resolution before materially restricting legitimate business usage.

Possible outcomes may include no change, configuration or usage changes, additional capacity, an appropriate plan or commercial arrangement, or another reasonable solution.

07

Protective action

Simplifyte may throttle, restrict, suspend or otherwise limit affected activity or access to the extent reasonably necessary to protect the security, integrity, availability or performance of the Service, other customers, Simplifyte's infrastructure, or to comply with law.

Where reasonably practicable, Simplifyte will limit action to the affected activity, notify the Customer as appropriate, and may restore affected functionality when the relevant risk has been resolved. Immediate action may be taken where delay could create material security, legal, fraud, abuse or service-stability risk.

08

Charges

A Reasonable Use Review does not itself create additional charges.

This does not affect any subscription fees, add-ons, metered usage, overages, taxes or other charges expressly provided for in the Customer's applicable plan, Order or other agreement with Simplifyte.

Where a new paid capacity, plan or commercial arrangement is recommended as a result of a review, Simplifyte will explain the applicable commercial impact before that new arrangement is applied.

09

Changes to this Policy

Simplifyte may update this Policy from time to time. Where a change materially affects Customer rights or obligations, Simplifyte will provide reasonable notice where required by law or reasonably practicable. The effective date above identifies the current version.

10

Questions or concerns

If a Customer believes a Reasonable Use determination has been made in error, the Customer may contact Simplifyte through its available support channels and request that the matter be reconsidered.

11

Relationship with other terms

This Policy forms part of and is subject to the Simplifyte Terms of Service and the Customer's applicable Order or agreement.

If there is a conflict between this Policy and an applicable Order or negotiated agreement, that Order or agreement will prevail to the extent of the conflict. Otherwise, the Terms of Service will prevail.
